1. Scope of Application

These Terms and Conditions govern access to and use of the portal ducati.audes.com by duly registered and approved Ducati Official Clubs. Access is subject to registration and approval by the portal administrator.

2. Account

To place orders, a user must have an account set up by the site administrator. The registration request must be submitted to Ducati. Once the request is verified and approved, the account will be activated. The user is responsible for keeping their credentials confidential and for any use made of them.

3. Prices and Availability

Prices indicated on the portal are inclusive of VAT, unless otherwise specified. Product availability is purely indicative and may change without notice. Upon request, Audes Group S.r.l. will issue an invoice for the order.

4. Orders

Orders placed through the portal are binding from the moment they are confirmed in the system. They cannot be modified without the seller’s written approval. Audes Group S.r.l. reserves the right to refuse orders in case of product unavailability, discrepancies in the provided information, or non-payment.

5. Payments

Payment methods available are indicated on the portal at checkout. Any exceptions must be expressly agreed upon in writing.

Notice Regarding VAT Invoicing
If an invoice is requested at the time of purchase, the company reserves the right to verify the validity of the VAT number through the VIES portal (VAT Information Exchange System). If the company is properly registered in VIES, it may benefit from VAT exemption under current legislation, with the invoice issued without VAT. The invoice request must be made before the order is completed and, in any case, before payment is made. Otherwise, VAT cannot be refunded.

6. Shipping and Delivery

6.1 Processing Times

Orders are processed, unless otherwise communicated, within 30 business days from confirmation. In case of delays, the customer will be promptly informed.

6.2 Shipping Methods

Goods are shipped via selected couriers. A tracking code will be provided upon order dispatch.

6.3 International Shipping

We ship to Europe and non-EU countries. Delivery times vary depending on the destination and may be delayed due to customs checks.

For shipments outside the EU, any duties, local taxes, and customs fees are the responsibility of the recipient.

The customer is responsible for the accuracy of delivery information and compliance with customs regulations.

Risk related to the products passes to the buyer upon delivery to the designated courier.

6.4 Orders of €700 or More – Shipping Quote

For orders of €700 or more, the system automatically generates a shipping quote request.

The user completes the order and immediately receives confirmation via e-mail.

Audes Group S.r.l. processes and sends the shipping quote within 5 (five) business days.

The customer has 5 (five) business days to accept the quote and proceed with payment.

If payment is not received within this period, the order will be automatically canceled.

Once payment is received, Audes Group S.r.l. will ship the order within 30 (thirty) business days and provide the customer with a tracking code.

7. Complaints and Returns

7.1 Complaint Deadlines

Any complaints regarding defects, shortages, or damages must be sent within 7 business days of receiving the goods, via e-mail to docmerchandising@audes.com.

7.2 How to File a Complaint

The complaint must include: order number or delivery note, description of the defect, and supporting photographs (mandatory in case of visible damages). Complaints lacking adequate documentation may be rejected.

7.3 Authorized Returns

Returns are accepted only with the seller’s written authorization. Goods must be returned intact, unused, and in their original packaging. Unauthorized returns will be rejected.

7.4 Customized or Made-to-Order Goods

Returns of customized or made-to-order items are not accepted, except for proven defects or errors attributable to the seller.

7.5 Return Costs

Unless otherwise agreed, return shipping costs are borne by the customer. In case of seller error, a return label will be provided or collection arranged.

7.6 Inspection and Credit Notes

Returned goods will be inspected. If non-compliance is confirmed, a credit note will be issued or the product replaced, according to agreements.

8. Liability

The seller is not responsible for delays or failures caused by force majeure. In any case, the seller’s maximum liability shall not exceed the value of the contested supply.

9. Changes to Terms

Audes Group S.r.l. reserves the right to modify these Terms and Conditions at any time. Changes take effect upon publication on the portal.

10. Jurisdiction

Any dispute shall be subject exclusively to the Court of Padua.

11. Final Clauses

In case of discrepancies between versions of these Terms and Conditions in different languages, the Italian version shall prevail. Any invalidity or nullity of a clause does not affect the validity of the remaining provisions.
